1. Definitions
Contract means a contract between Redmond Fine Foods Limited and the Customer for the sale and purchase of Goods in accordance with these Terms and Conditions.

Customer means any person, firm, company, partnership, sole trader, organisation or other entity purchasing Goods from RFF.

Equipment means machinery, appliances, electrical goods, mechanical goods, technical products or specialist kitchen equipment supplied by RFF.

Equipment Terms means RFF’s separate Equipment Sales, Warranty & Service Terms, as amended from time to time.

Force Majeure Event means any event or circumstance beyond the reasonable control of RFF.

Goods means the products supplied by RFF as described in the Order, including food products, ingredients, consumables, packaging, Equipment and any other goods.

Order means any order placed by the Customer for the supply of Goods, whether verbally, in writing, electronically, through the RFF website, by email, by telephone, by purchase order or through an RFF representative.

Perishable Goods means Goods that are chilled, frozen, fresh, temperature-sensitive, short-life or otherwise liable to deteriorate.

RFF means Redmond Fine Foods Limited, Company Number 405247, Unit F1, Southern Link Business Park, Newbridge Road, Naas, Co. Kildare, W91 XF63, Ireland.

Special Order Goods means Goods specially sourced, pre-ordered, imported, customised, made to order or ordered specifically for the Customer.

2. General
1. All Orders are subject to acceptance by RFF.
2. The Customer is responsible for ensuring that all Order details are complete and accurate.
3. Acceptance of delivery of the Goods constitutes acceptance of these Terms and Conditions.
4. All Goods are supplied subject to availability.
5. RFF reserves the right to amend product specifications where required by law, supplier changes, availability or operational requirements.
6. Risk in the Goods passes to the Customer on completion of delivery.
7. Title to the Goods remains with RFF until payment has been received in full.
8. The Customer is responsible for ensuring that Goods are stored and handled under appropriate conditions immediately upon delivery.
9. Pre-ordered, specially sourced, imported, customised or Special Order Goods are binding once ordered and may not be cancelled except at RFF’s discretion.
10. RFF shall not be liable for any failure or delay in performance due to a Force Majeure Event.
11. Nothing in these Terms excludes or limits any liability or legal obligation that cannot be excluded or limited under applicable Irish law.

3. Technical Equipment and Machinery
12. Where Goods include Equipment, the Customer agrees that RFF’s Equipment Terms shall also apply.
13. The Equipment Terms apply only to the supply, delivery, setup, installation, commissioning, warranty, service, maintenance, call-out, repair, return and replacement of Equipment.
14. For all other Goods, including food products, ingredients, Perishable Goods, chilled goods, frozen goods, ambient goods, packaging and consumables, these Terms and Conditions of Business continue to apply in full.
15. In the event of any conflict between these Terms and the Equipment Terms, the Equipment Terms shall apply only to the Equipment-related matter. These Terms shall continue to apply to all non-Equipment Goods and to payment, title, risk, delivery, claims, limitation of liability, governing law and all other general trading matters unless expressly stated otherwise.

4. Credit Accounts and Payment
16. New customers may be required to trade on a payment-in-advance basis until a credit account has been approved.
17. Credit facilities are granted at the sole discretion of RFF and are subject to satisfactory references and credit checks.
18. RFF may request updated credit information at any time.
19. Approved credit accounts operate under Direct Debit Current Week +1 terms unless otherwise agreed in writing.
20. Invoices are issued weekly for Goods delivered in the preceding week, unless otherwise agreed.
21. All sums due must be paid in full and without deduction, set-off, counterclaim or withholding.
22. RFF reserves the right to suspend deliveries where payment terms are not met.
23. Interest may be charged on overdue amounts at the applicable statutory rate.
24. All costs incurred in the recovery of overdue amounts, including legal costs, collection costs and administrative costs, shall be borne by the Customer.
25. RFF may withdraw, reduce or amend credit facilities at any time.

5. Prices
5.1 Pricing Basis

26. Prices are subject to change without notice due to supplier costs, currency fluctuations, import costs, transport costs, duty, tariffs, market conditions, availability or other operational factors.
27. The price charged shall be the price shown on the invoice issued by RFF.
28. All prices are exclusive of VAT unless stated otherwise.
29. Delivery, freight, courier, import, special handling, installation, commissioning, service, call-out or other additional charges may be charged separately where applicable.

5.2 Pricing Errors and Corrections
30. RFF makes reasonable efforts to ensure that product prices and descriptions are accurate. However, errors may occur.
31. RFF reserves the right to correct pricing, description, specification or availability errors at any time and will notify the Customer prior to dispatch where applicable.
32. Certain Goods are supplied subject to supplier availability, seasonality, import conditions or operational constraints. RFF reserves the right to withdraw, substitute or limit products where supply constraints arise.

6. Delivery
6.1 Delivery Schedule

33. Delivery days for Dublin and surrounding areas are currently Tuesday through Friday.
34. Deliveries to other regions operate on scheduled routes. Customers should confirm their delivery day with their RFF sales representative.
35. Orders received before the applicable cut-off time will normally be delivered on the Customer’s next scheduled delivery day during normal business hours, subject to stock availability, route availability and operational conditions.
36. Delivery schedules may be amended by RFF as operational requirements dictate.

6.2 Minimum Order Values
37. Minimum order value for delivery is €150 or £150 across all regions.
38. Orders below this threshold may be accepted at the discretion of RFF.
39. RFF reserves the right to apply an additional delivery charge to such orders.
40. Acceptance of an Order below the minimum does not constitute a waiver of this policy.

6.3 Cut-off Times
41. Orders received before 18:00 on the day prior to the scheduled delivery day qualify for delivery on the Customer’s next scheduled delivery day, subject to stock availability, route availability and operational conditions.
42. Orders received after 18:00 may be deferred to the following scheduled delivery day or declined.

6.4 Delivery Timing and Access
43. Deliveries are made during normal business hours unless otherwise agreed in writing.
44. Delivery times are estimates only. RFF will make reasonable efforts to deliver on scheduled routes but shall not be liable for delays due to operational factors, traffic, weather, supplier issues, transport disruption, customs, import delays, staffing, system failure or events outside RFF’s reasonable control.
45. The Customer must ensure suitable access, unloading arrangements and staff availability for delivery.
46. If delivery cannot be completed due to Customer delay, absence, access issues, incorrect information or unsuitable premises, RFF may charge additional delivery, storage, waiting, handling or return costs.

6.5 Temperature-Controlled Goods
47. Goods requiring temperature control are delivered using appropriate systems.
48. Upon delivery and signature, responsibility transfers to the Customer.
49. RFF is not liable for deterioration after delivery due to Customer storage, handling, delay, temperature abuse, incorrect refrigeration, incorrect freezing or failure to follow instructions.

6.6 Product Substitution
50. Where a product is unavailable, RFF may supply a suitable alternative of comparable quality.
51. Customers may refuse substituted items at delivery.
52. Accepted substitutions will be invoiced accordingly.

6.7 Northern Ireland and Cross-Border Deliveries
53. Deliveries to Northern Ireland are subject to route availability, stock availability, transport arrangements, customs, VAT, regulatory and cross-border requirements applicable at the time of supply.
54. RFF may charge additional delivery, administration, documentation, customs, compliance, courier, freight or handling charges for deliveries to Northern Ireland where applicable.
55. Delivery times for Northern Ireland are estimates only and may be affected by cross-border requirements, supplier issues, transport disruption, documentation checks or other operational factors.
56. The Customer is responsible for providing accurate delivery details, VAT details, business information and any other information reasonably required to complete delivery or comply with applicable requirements.
57. Unless otherwise agreed in writing, these Terms and Conditions remain governed by the laws of Ireland and the Irish courts shall have exclusive jurisdiction.

7. Returns and Claims
58. All shortages, damages, temperature issues, incorrect items or discrepancies must be reported within 24 hours of delivery.
59. Perishable Goods cannot be returned except where delivered damaged, incorrect or compromised.
60. Non-perishable Goods may be considered for return only if unused, unopened, complete, undamaged, in original packaging and fit for resale.
61. RFF reserves the right to inspect returned Goods before issuing any credit, replacement or refund.
62. Pre-ordered, specially sourced, imported, customised or Special Order Goods are deemed accepted at the time of order and may not be cancelled or returned except where delivered damaged, incorrect or otherwise compromised.
63. No Goods may be returned without RFF’s prior approval.
64. The Customer is responsible for ensuring returned Goods are clean, complete, protected, properly packed and returned in suitable condition.
65. RFF may deduct or charge for missing items, cleaning, reconditioning, damage, reduced resale value, freight, handling, inspection, labour, parts, supplier charges, courier charges, storage or administrative costs.
66. Equipment returns are also subject to the Equipment Terms.

8. Product Information and Allergens
67. Product descriptions, allergen information, ingredient information, nutritional information, specifications and technical data are provided based on supplier data.
68. While RFF takes reasonable care to ensure accuracy, RFF does not guarantee that such information is error-free, complete or unchanged.
69. The Customer is responsible for verifying the suitability of Goods for their intended use, including allergens, ingredients, storage, preparation, cooking, service, labelling, menu declarations, customer dietary requirements and legal compliance.
70. Suppliers may change recipes, ingredients, allergens, pack sizes, specifications, country of origin or production methods without notice.

9. Customer Responsibilities
71. The Customer is responsible for ensuring that Goods are ordered correctly, accepted, checked, stored, handled and used correctly.
72. The Customer must ensure that all relevant staff are trained and competent to use the Goods safely and correctly.
73. The Customer must keep appropriate records of delivery, storage, temperature control, use, cleaning and handling where relevant.
74. The Customer must report any issue promptly and must not continue to use Goods where continued use may cause damage, safety risk, deterioration, contamination, further fault or loss.

10. Limitation of Liability
75. To the fullest extent permitted by law, RFF shall not be liable for indirect, consequential, special or economic loss.
76. This includes loss of profit, loss of sales, loss of production, loss of business, loss of goodwill, loss of contracts, loss of opportunity, staff downtime, kitchen downtime, menu disruption, substitute product or equipment costs, food spoilage, customer claims or reputational damage, except where such liability cannot legally be excluded.
77. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be limited or excluded.
78. RFF’s total liability shall, to the fullest extent permitted by law, be limited to the price paid by the Customer for the relevant Goods giving rise to the claim.

11. Force Majeure
79. RFF shall not be liable for delay or failure to perform its obligations due to events beyond its reasonable control including severe weather, supplier failure, transport disruption, import delays, customs delays, strikes, fire, flood, power failure, IT failure, system failure, epidemic, pandemic, government action, shortage of materials, shortage of labour or other operational disruption.

12. Governing Law and Jurisdiction
80. These Terms and Conditions are governed by the laws of Ireland.
81. The Irish courts shall have exclusive jurisdiction in relation to any dispute arising from or connected with these Terms, the Contract, the Goods or any related supply by RFF.

13. Entire Agreement
82. These Terms, together with any applicable Equipment Terms, quotation, invoice, order confirmation, credit agreement or written agreement issued by RFF, constitute the entire agreement between RFF and the Customer and supersede all previous terms, conditions, representations or understandings.
83. No variation of these Terms shall be effective unless agreed in writing by an authorised representative of RFF.
